a.     What it takes to Raise Capital: Investment Landscape and Trends, Sources of Capital & Business FundAbility

b.     Capital Raising Process: Steps in Capital Raising, assessing the opportunities, Identifying the investors

c.     Determining Valuation: Startup Valuation techniques, Discounted Cash Flow, Comparable Company Analysis, Precedent Transactions, Cap Tables, dilution, share issuance, etc.

d.     Deal Structuring: Understand how to use convertible structures like CCPS, CCD, Safe Notes - How they work, pros and cons


Day 2


e.     Term sheet & SHA: Key Terms, understand various Clauses (Exit rights, Drag Along, Tag-Along, Liquidation, Right of First refusal, etc. in the Term sheet. Founder-friendly strategies, Negotiating with Investors

f.       Tacking Due Diligence: Understanding primary reasons deals fall through during the Due Diligence. How to prepare for Due diligence focusing on primary areas (Finance, compliance, Legal,IPR & Human Resources. Sample Due diligence checklist, Identifying Red flags, Mistake avoidance and timing, etc.)

g.     Crafting a Business Plan: Crafting an effective pitch deck, modeling projections, and funding requirement. Create Pitch decks that break free from traditional

Mastering the Art of Investor Pitching


h. Negotiation Techniques & Deal-Making Strategies: Understanding investor motivations and negotiating from a position of strength. Key negotiation levers in term sheets and investment agreements. Strategies to secure favorable terms while balancing investor expectations. Handling counteroffers, valuation negotiations, and equity dilution concerns. Role-playing exercises on real-world negotiation scenarios.

i. Effective Storytelling for Fundraising: Understanding the psychology of investors and what they look for in a compelling pitch. The power of narrative—structuring your pitch to create impact. Techniques for weaving data and vision into a compelling story. Case studies of successful startup pitches.

j. Investor Pitch Practice & Feedback: Live pitch simulations with expert feedback. Handling investor questions and objections effectively. Personalizing your pitch for different investor types (VCs, Angels, Corporate Investors). Body language, confidence, and delivery techniques for maximum impact.

k. Pitch Deck Refinement & Final Review: Fine-tuning key slides—Problem, Solution, Market Opportunity, Financials, and Ask. Aligning storytelling with data for credibility. Ensuring clarity, brevity, and engagement in presentations. Final walkthroughs and polishing for investor readiness.
